Creating a Statement of Work

What is a Statement of Work?

A Statement of Work (SOW) is a detailed document that defines the specific work to be performed under a contract. While a Master Service Agreement (MSA) covers the overall vendor relationship, SOWs define individual projects, deliverables, timelines, and costs within that relationship.

When to Use a SOW

  • Engaging a vendor for a specific project with defined deliverables
  • Breaking a large contract into manageable phases
  • Defining resource allocations and hourly/fixed-fee arrangements
  • Documenting milestones and acceptance criteria

How to Create a SOW

  1. Navigate to SOWs → click "New SOW"
  2. Link to Contract (optional but recommended):
    • Select the parent MSA/contract this SOW falls under
    • If no MSA exists yet, you can create a standalone SOW
  3. Select Vendor:
    • Choose the vendor from your registry
    • Vendor details auto-populate (name, address, contacts)
  4. Define SOW Details:

  1. Define Deliverables:

    • Add one or more deliverables
    • Each deliverable includes: description, due date, acceptance criteria, assigned resources
    • Deliverables can be grouped into phases/milestones
  2. Define Resources (for T&M SOWs):

    • List vendor resources/roles assigned
    • Hourly/daily rates per resource
    • Estimated hours per resource
    • Start/end dates per resource
  3. Define Milestones (for milestone-based SOWs):

    • Milestone name and description
    • Completion criteria
    • Payment amount tied to milestone
    • Due date
  4. Payment Schedule:

    • Define when payments are due
    • Link payments to milestones, monthly cycles, or deliverable acceptance
    • Set payment terms (Net 30, Net 45, etc.)
  5. Terms & Conditions:

    • Inherit from parent contract OR define SOW-specific terms
    • Add any special conditions (IP ownership, travel expenses, equipment, etc.)
  6. Review & Submit:

    • Preview the complete SOW document
    • Submit for internal approval OR send directly for signatures
